Terms and Conditions

These terms and conditions (“Terms”) govern your use of the website at https://outside.help (the “Website”) and any services supplied by Outside Help Limited. By using the Website or engaging our services you agree to these Terms. If you do not agree, please do not use the Website.

1. Definitions

  • Company, we, us, our: Outside Help Limited, registered in England and Wales under number 13215222, with its registered office at Crown House, 27 Old Gloucester Street, London, WC1N 3AX.
  • Services: the IT managed services, consultancy, and other professional services we provide to clients, as described on the Website or under a separate written agreement.
  • Client, you, your: any person or organisation that uses the Website or contracts with us for Services.
  • Content: any text, images, logos, graphics, audio, video, software, and other material made available on the Website.

2. Use of the Website

You may use the Website for lawful purposes only. You must not use the Website:

  • in any way that breaches any applicable local, national, or international law or regulation;
  • in any way that is unlawful, fraudulent, or has any unlawful or fraudulent purpose;
  • to transmit any unsolicited or unauthorised advertising or promotional material;
  • to knowingly transmit any data, send or upload any material that contains viruses or other harmful programs.

3. Services

Where you engage us to provide Services, the specific scope, deliverables, fees, and timescales will be set out in a separate statement of work, proposal, or service agreement (“Service Agreement”). In the event of conflict between these Terms and a signed Service Agreement, the Service Agreement shall prevail.

We will perform the Services with reasonable care and skill in accordance with generally accepted industry standards.

4. Fees and Payment

Fees for the Services are as set out in the applicable Service Agreement. Unless otherwise agreed in writing:

  • invoices are payable within 30 days of the invoice date;
  • all amounts are exclusive of VAT, which will be charged at the prevailing rate;
  • late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.

5. Client Obligations

You agree to:

  • co-operate with us in all matters relating to the Services;
  • provide timely access to systems, premises, and information as reasonably required;
  • ensure that information you supply is accurate, complete, and kept up to date.

6. Intellectual Property

All Content on the Website (including design, layout, text, graphics, and logos) is owned by Outside Help Limited or its licensors and is protected by copyright and other intellectual property laws. You may view and print pages for your own personal use, but you may not otherwise reproduce, modify, or republish any Content without our prior written consent.

Intellectual property in deliverables produced under a Service Agreement is allocated in accordance with that Service Agreement. In the absence of such provisions, the Company retains ownership of any pre-existing or generally applicable tools, methodologies, and know-how used to deliver the Services.

7. Confidentiality

Each party shall keep confidential all information received from the other party that is marked as confidential or that ought reasonably to be regarded as confidential, and shall use such information only for the purposes of performing its obligations under these Terms or any related Service Agreement.

8. Data Protection

We process personal data in accordance with our Privacy Policy and applicable Data Protection Laws (including the UK GDPR and the Data Protection Act 2018). Where we process personal data on your behalf as a processor, the parties will enter into a written data processing agreement as required by law.

9. Warranties and Disclaimers

The Website is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we exclude all representations, warranties, and conditions relating to the Website and its use (including any implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement).

10. Limitation of Liability

Nothing in these Terms limits or excludes our liability for:

  • death or personal injury caused by our negligence;
  • fraud or fraudulent misrepresentation;
  • any other liability that cannot be limited or excluded under applicable law.

Subject to the foregoing, and to the fullest extent permitted by law:

  • our total aggregate liability arising out of or in connection with the Services shall not exceed the fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim;
  • we shall not be liable for any indirect, consequential, or special loss, or for any loss of profits, revenue, business, goodwill, or data.

11. Termination

Either party may terminate a Service Agreement in accordance with its terms, or immediately on written notice if the other party commits a material breach that it fails to remedy within 30 days of written notice, or becomes insolvent. Termination does not affect any rights or obligations accrued prior to termination.

12. Changes to These Terms

We may update these Terms from time to time. The latest version will always be available on the Website. Continued use of the Website after changes have been posted constitutes acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.
